DCPROMO / ForestPrep error : Access is denied

Scenario:

 

DC1 built clean with WS08 RC0 and DCOMOED to W2K3 forest mode, single domain

DC2 built clean with WS08 RC0.

Try to run DCPROMO on DC2 and get error that I must run adprep /forestprep

Try to run adprep /forestprep on DC1 (copy adprep folder off DVD to local CSmile as Domain Admin but get the following error:

Adprep was unable to copy file C:\adprep\schupgrade.cat from installation point
to local machine under directory C:\Windows\system32.
[User Action]
Check the log file ADPrep.log in the C:\Windows\debug\adprep\logs\20071002115029
 directory for more information.

Adprep encountered a Win32 error.
Error code: 0x5 Error message: Access is denied..

 

Adprep was unable to copy setup files from installation point to local machine.
[Status/Consequence]
Adprep has stopped without making changes.
[User Action]
Make sure you run adprep.exe under the directory that contains the following fil
es: schema.ini, sch*.ldf and dcpromo.csv. The recommended way is running adprep.
exe from installation media, such as CD-ROM or network share. Check the log file
 ADPrep.log in the C:\Windows\debug\adprep\logs\20071002115029 directory for mor
e information.

Adprep encountered a Win32 error.

Tried raising forest/domain to W2K8 to no avail.

 

Any suggestions on why I can't run adprep /forestprep on the only DC in the forest?
